The Firm is empaneled with leading banks in India and advise on matters relating to banking laws, corporate laws, exchange control regulations, securities law, derivatives regulations, cyber laws, insurance laws and other economic legislations.
The firm advises clients on regulatory matters, lending and related documentation etc. The firm provides advice and assistance to borrowers, issuers, sellers and financial institutions in transactions, including structured finance, asset-based financing, letters of credit and other trade finance documentation. Area of specialization include project finance and M&A transactions wherein clients fund houses to make investments in the form equity or debt either at the project level or entity level investments.
What We Have Done
- Advised Standard Chartered Bank and drafting and review of the facility documents in relation to issue of debentures of INR 100 Crores by the Educomp Infrastructure & School Management Limited, a company engaged in the business of creating and developing infrastructure, buildings and facilities for the purpose of setting up educational institutions whether high schools, primary schools, pre schools, colleges and universities and formal and informal learning centres of all kinds.
- Represented an Indian company in relation to the proposed investment by the financial investors in the company and purchase of loan portfolio of Nirman Bharti a company incorporated under Section 25 of the Companies Act and engaged in the activity of providing rural credit and in this relation advising on the procedures to be undertaken for take over of such loan portfolio.
- Drafting and review of the facility documents extended by the Standard Chartered Bank to the tune of approx 100 crores for setting up and operation of a mega municipal solid waste management project to be undertaken by A2Z Group in various cities in UttarPradesh.
- Advising the Ministry of Agriculture on corporatization of Delhi Milk Scheme and prepared a comprehensive legal report on corporatization of DMS as well as prepare a road map for the same presently working as a department under the Ministry of Agriculture and advising the Ministry on procedures to be undertaken including drafting of the bye laws and Memorandum of Association for the new corporate entity.
